These Terms govern access to and use of UXtion ("Service") operated by UXtion LLC. By creating an account, subscribing, or using the Service, you agree to these Terms.

1. Agreement to Terms

By accessing or using UXtion ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service. By creating an account, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

UXtion provides an AI-powered website audit platform that analyzes publicly accessible websites for UX patterns, SEO signals, and Answer Engine Optimization (AEO) factors. The Service generates automated reports and, on certain plans, human expert commentary. UXtion is an informational and analytical tool only. We do not provide legal, financial, medical, or professional consulting services.

3. NO GUARANTEE OF RESULTS — CRITICAL DISCLAIMER

THIS IS THE MOST IMPORTANT SECTION. PLEASE READ CAREFULLY. UXtion provides website analysis and recommendations based on AI-generated insights and general UX/SEO best practices. WE MAKE NO GUARANTEE, WARRANTY, OR REPRESENTATION that: (a) Using our Service will increase your website traffic, revenue, conversion rates, or sales; (b) Our audit findings or recommendations will be accurate, complete, or suitable for your specific business needs; (c) Implementing our recommendations will achieve any particular business outcome; (d) Our AI analysis will identify all issues present on your website; (e) Our AEO recommendations will result in your website being recommended by any AI search platform including ChatGPT, Google Gemini, or Perplexity. Website performance is affected by hundreds of factors outside our control including but not limited to: market conditions, competitor actions, algorithm changes, economic conditions, product quality, pricing strategy, customer service, and advertising spend. Any results, testimonials, case studies, or statistics mentioned on our website or in our Service represent individual outcomes and are not guarantees of similar results for your business. Individual results will vary significantly. You acknowledge that you are implementing any recommendations at your own discretion and risk.

4. Cancellation Policy

Monthly Plans: Cancel anytime from your Account page. If cancelled within 7 days of purchase, you receive a 100% refund and your subscription ends immediately. After 7 days, no refund is issued — you keep full access until the end of the current billing period, then move to the Free plan. Top-up packs: No refunds, ever. Data Retention: Your audit reports and data are retained for 90 days after cancellation. After that, your data may be permanently deleted. Reactivation: You can reactivate your subscription at any time from your account settings. Previous audit data will be restored if you reactivate within 90 days.

5. Subscription and Payment Terms

4.1 Billing Subscriptions are billed in advance on a monthly basis. By providing payment information, you authorize UXtion to charge your payment method for all fees incurred. 4.2 Monthly Subscriptions Monthly subscriptions renew automatically each month. If you cancel a monthly subscription: • Within 7 days of purchase: 100% refund, subscription ends immediately, account moves to Free • After 7 days: no refund — access continues until the end of the current billing period, then moves to Free • Your subscription will not renew after the current period ends 4.4 Price Changes UXtion reserves the right to modify subscription prices with 30 days advance notice via email. Continued use after the notice period constitutes acceptance of the new price. 4.5 Failed Payments If payment fails, we will attempt to charge your payment method again. If payment continues to fail after 7 days, your subscription may be suspended.

6. Refunds and Cancellations

You may cancel your subscription at any time from your account billing settings. Cancellation takes effect at the end of the current billing period — you retain full access until then. We do not offer prorated refunds for partial months. If you believe you were charged in error, contact us at hello@uxtion.ai within 14 days of the charge and we will review your case. Free plan users are never charged.

7. Fair Use Policy

UXtion's AI-powered audit features incur real-time API costs borne by UXtion on your behalf. Refund eligibility is assessed in good faith; however, UXtion reserves the right to deny refund requests where significant AI API costs have been materially incurred on the customer's behalf, regardless of time elapsed since purchase. By subscribing, you acknowledge that AI API costs are non-recoverable once incurred.

8. Acceptable Use

You agree not to use the Service to: (a) Audit websites you do not own or have explicit permission to analyze; (b) Circumvent, disable, or interfere with security-related features of the Service; (c) Use automated tools to access the Service in excess of normal usage patterns; (d) Attempt to reverse engineer, decompile, or extract source code from the Service; (e) Use the Service to collect data about websites for unauthorized competitive intelligence; (f) Violate any applicable laws or regulations. UXtion reserves the right to suspend or terminate accounts that violate these terms without refund.

9. Intellectual Property

6.1 Our Property The Service, including all software, algorithms, designs, text, and content, is owned by UXtion LLC and protected by intellectual property laws. 6.2 Your Reports Audit reports generated for your website are owned by you. UXtion retains the right to use anonymized, aggregated audit data to improve the Service. 6.3 Your Content You retain ownership of any content, data, or materials you upload to the Service. By uploading, you grant UXtion a limited license to process this content solely to provide the Service to you.

10. Privacy and Data

Your use of the Service is also governed by our Privacy Policy, incorporated herein by reference. UXtion only analyzes publicly accessible website pages. We do not access password-protected areas, backend systems, or private data. We collect and process personal data in accordance with our Privacy Policy and applicable data protection laws including GDPR and CCPA. Data Retention After Cancellation: Upon cancellation, your account data is retained for 90 days. During this period, you may reactivate your subscription and restore full access to your data. After 90 days, your personal data and audit reports are permanently deleted from our systems. Prior to deletion, anonymized and aggregated audit data (with all personally identifiable information removed) may be used to improve our AI models. This anonymized data cannot be used to identify you or your business. Data used for AI training includes: • Issue types and categories found • Audit scores (anonymized) • Fix recommendations Data permanently deleted includes: • Your name, email, and contact information (email may be retained only on a suppression list to honor opt-outs) • Your website URL and business name • Your billing information (Stripe handles payment data per their policy) • All personally identifiable information linked to your audits

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. We do not warrant that: • The Service will meet your specific requirements • The Service will be available at any particular time • Any errors in the Service will be corrected • The results obtained from the Service will be accurate or reliable • The quality of audit findings will meet your expectations Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UXTION LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR: (a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; (b) ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL; (c) ANY DAMAGES RESULTING FROM YOUR RELIANCE ON AUDIT FINDINGS OR RECOMMENDATIONS; (d) ANY DAMAGES RESULTING FROM IMPLEMENTING OR FAILING TO IMPLEMENT OUR RECOMMENDATIONS; (e) ANY DAMAGES CAUSED BY THIRD-PARTY SERVICES WE INTEGRATE WITH. IN ALL CASES, UXTION'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). These limitations apply regardless of the theory of liability (contract, tort, negligence, etc.) and even if UXtion has been advised of the possibility of such damages.

13. Indemnification

You agree to defend, indemnify, and hold harmless UXtion LLC and its officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from: (a) Your use of the Service; (b) Your violation of these Terms; (c) Your violation of any third-party rights; (d) Any claim that your use of the Service caused damage to a third party.

14. Dispute Resolution

11.1 Informal Resolution Before filing any formal dispute, you agree to contact us at legal@uxtion.ai and attempt to resolve the issue informally for at least 30 days. 11.2 Binding Arbitration Any dispute not resolved informally shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. 11.3 Class Action Waiver YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. 11.4 Governing Law These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

15. Service Availability

UXtion targets 99% uptime but does not guarantee uninterrupted service. We are not liable for downtime caused by: • Scheduled maintenance (announced 24hr in advance) • Third-party service outages (AWS, Vercel, etc.) • Force majeure events • Circumstances beyond our reasonable control Service credits are not provided for downtime.

16. Termination

UXtion may terminate or suspend your account immediately, without prior notice, if: (a) You breach these Terms; (b) We determine your use is harmful to other users; (c) Required by law. Upon termination, your right to use the Service ceases immediately. Refund eligibility follows the cancellation policy in Section 4 — monthly plans within 7 days of purchase; no refunds after that window. You may terminate your account at any time from your account settings.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days notice via email before material changes take effect. Your continued use after the effective date constitutes acceptance of the revised Terms. If you disagree with the changes, you may cancel your subscription before the effective date.
